- Maintain a Business
Meetings, Resolutions & Notices
There are certain documents required in most states to ensure that your business is maintaining its legal corporation or LLC status.
Some of these documents are required for corporations only, LLCs only, or both. For example:
Annual Reports, Initial Reports & Statements of Information

In most states, corporations and LLCs are required to pay annual fees and taxes for the privilege of operating as a state-level entity.
In addition to these taxes, most states also require that you submit information about business activities and any changes to your principals or addresses.
In most states, this information is referred to as an Annual Report, or Statement of Information. And your first annual report or statement of information upon forming your business is called the Initial Report. You can find out more when you visit "Other Services."
Please note that under most conditions (whether a new business, conducting business, or not conducting business at the time, etc.) you are required to file according to your state's schedules. Schedules for filing vary by each state.
And, if you fail to provide the Secretary of State the required information in a timely manner, your corporation or LLC could be subject to suspension (or even dissolution) in additional to penalties and late fees imposed by your state.
Shareholder Meetings for Corporations

When you form a corporation, one of the samples you receive in your kit is a "Meetings of Shareholders" sample, included in your Bylaws.
The Bylaws of your corporation are the written rules for conduct.
Bylaws generally contain information on meetings, elections of a board of directors and officers, notices, types and duties of officers, and other routine conduct. Bylaws are, in effect, a contract among members and must be formally adopted and/or amended.
Corporate Resolutions for Corporations
Get more details and free samples when you visit Corporate Resolutions in "Other Services."
Resolutions maintained in proper form are vital to the continued existence of a corporation and to the protection of directors and shareholders.
Drafting and maintaining corporate resolutions while operating your corporation can sometimes be a tedious task.
Although MyCorporation cannot provide legal advice—we are not lawyers—we can provide you with some very useful, free, samples of corporate resolutions.
