Advantages of an LLC:

  • Limited Liability: Owners of a LLC have the liability protection of a corporation. A LLC exists as a separate entity much like a corporation. Members cannot be held personally liable for debts unless they have signed a personal guarantee.
  • Flexible Profit Distribution: Limited liability companies can select varying forms of distribution of profits. Unlike a common partnership where the split is 50-50, LLC have much more flexibility.
  • No Minutes: Corporations are required to keep formal minutes, have meetings, and record resolutions. The LLC business structure requires no corporate minutes or resolutions and is easier to operate.
  • Flow Through Taxation: All your business losses, profits, and expenses flow through the company to the individual members. You avoid the double taxation of paying corporate tax and individual tax. Generally, this will be a tax advantage, but circumstances can favor a corporate tax structure.

New Jersey Specific Filing Requirements:

  • New Jersey requires that Limited Liability Companies include an approved designator in their business's name. The designator can be either Limited Liability Company or L.L.C.
  • In order to form an LLC, you must submit a Public Records Filing for New Business Entity with the Department of Treasury, Division of Revenue. The filing requires that all LLCs name a registered agent, and list a registered office, that is physically in the state of New Jersey. The agent can be a resident of the state, an in-state business, or a foreign company registered to do business in the state.
  • The New Jersey Department of Treasury requires that all LLCs, foreign and domestic, file an annual report by the end of the anniversary month of the LLC's formation. The state also requires that all LLCs pay a fee at the time of filing.
  • Generally filings are completed within 1 business day* at the state level.
